Terms of Service

The legal agreement that governs your use of the Ten Alliance Loan Management System platform and associated services.

Effective Date: 1 January 2025
Governed by Zimbabwean Law

1 Acceptance of Terms

By accessing or using the Ten Alliance platform, website, or any associated services (collectively, the "Services"), you ("Institution", "User", or "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Please read these Terms carefully. If you do not agree with any part of these Terms, you must immediately cease use of the Services.

2 Our Services

Ten Alliance provides a cloud-based Loan Management System (LMS) platform that includes, but is not limited to:

  • Loan origination, tracking, and lifecycle management
  • Borrower and collateral management
  • Integrated accounting and financial reporting
  • Regulatory compliance reporting formatted to your local central bank and regulatory authority standards
  • Multi-branch management and role-based access control
  • Automated SMS and email communication tools
  • API access and third-party integration capabilities (where applicable to your plan)

Ten Alliance reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with reasonable notice to affected users.

3 Accounts & Access

3.1 Account Registration

To use the Services, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3.2 Authorised Users

Your subscription entitles you to create accounts for your authorised staff ("Users"). You are responsible for ensuring all Users comply with these Terms. You must promptly remove access for any User who leaves your organisation or whose access is no longer required.

3.3 Account Security

You must notify Ten Alliance immediately at support@tenalliance.co.zw if you suspect any unauthorised access to your account. Ten Alliance is not liable for losses resulting from unauthorised access caused by your failure to secure your credentials.

4 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services for any fraudulent, deceptive, or illegal activity
  • Enter false, misleading, or fabricated borrower or financial data
  • Attempt to gain unauthorised access to any part of the platform or other users' data
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the Services to store or transmit malicious code or malware
  • Resell, sublicense, or white-label the platform without Ten Alliance's prior written consent
  • Use automated scraping tools, bots, or scripts to extract data from the platform
  • Violate any applicable law or regulation, including data protection and financial regulations

Breach of this clause may result in immediate termination of your account and legal action where appropriate.

5 Data Ownership

You retain full ownership of all data you enter into the Ten Alliance platform ("Your Data"), including borrower records, loan data, and financial information. Ten Alliance does not claim ownership of Your Data.

You grant Ten Alliance a limited, non-exclusive licence to process Your Data solely for the purpose of providing the Services, as further described in our Privacy Policy.

Upon termination of your subscription, you may request an export of Your Data in CSV or PDF format. Ten Alliance will provide this export within 30 days of a written request. After 90 days post-termination, Ten Alliance may permanently delete Your Data from its systems.

6 Fees & Payment

6.1 Subscription Fees

Fees are charged based on your selected subscription plan as set out on our pricing page or in your service agreement. Fees are payable monthly or annually, in advance, unless otherwise agreed in writing.

6.2 Late Payment

If payment is not received within 14 days of the due date, Ten Alliance reserves the right to suspend your account until the outstanding balance is settled. Access to your data will be maintained during suspension.

6.3 Price Changes

Ten Alliance will provide at least 30 days' written notice of any price increases. Continued use after the effective date constitutes acceptance of the new pricing.

6.4 Refunds

Subscription fees are non-refundable except where required by applicable law, or where Ten Alliance has failed to deliver the agreed Services due to causes within its control.

7 Intellectual Property

The Ten Alliance platform, including its software, design, algorithms, documentation, and all associated intellectual property, is owned by Ten Alliance (Private) Limited and protected by applicable intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the platform for your internal business purposes during the subscription period.

8 Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party ("Confidential Information") and to use it only for the purposes of this agreement. This obligation does not apply to information that:

  • Was already publicly known at the time of disclosure
  • Becomes publicly known through no fault of the receiving party
  • Was independently developed by the receiving party
  • Is required to be disclosed by law or regulatory authority

9 Limitation of Liability

Ten Alliance provides the Services on an "as is" basis. While we strive for 99.5% uptime and take all reasonable steps to ensure reliability, we cannot guarantee uninterrupted or error-free service.

To the maximum extent permitted by law: Ten Alliance's total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. Ten Alliance is not liable for indirect, incidental, special, or consequential damages.

Ten Alliance is not responsible for losses arising from: your failure to maintain adequate data backups, unauthorised access caused by insecure credentials, or use of the platform in contravention of these Terms.

10 Termination

10.1 Termination by You

You may terminate your subscription at any time by providing 30 days' written notice. Fees already paid for the current billing period are non-refundable.

10.2 Termination by Ten Alliance

Ten Alliance may terminate or suspend your access immediately and without notice if you materially breach these Terms, become insolvent, or engage in fraudulent activity.

10.3 Effect of Termination

Upon termination, your right to access the platform ceases. You may request a data export as described in Section 5. All provisions of these Terms that by their nature should survive termination shall do so, including Sections 5, 7, 8, 9, and 11.

11 Disputes & Governing Law

These Terms are governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising from these Terms or the Services shall first be subject to good faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to arbitration in Harare, Zimbabwe, in accordance with the Arbitration Act [Chapter 7:15].

Nothing in this clause prevents either party from seeking urgent interlocutory relief from a competent court.
